Endurance Technologies Limited said it has received regulatory approval to complete the merger of its wholly owned step-down subsidiaries in Italy, consolidating its European operations through an internal restructuring effective from 1 January 2026.
The Pune-based automotive components manufacturer said the Italian Chamber of Commerce has approved the merger of Endurance Engineering S.r.l. and Endurance S.p.A. into Endurance Castings S.p.A., all of which are wholly owned step-down subsidiaries of the company.
As part of the restructuring, Endurance Castings S.p.A. will be renamed Endurance S.p.A. from the effective date of the merger. The company said the transaction is an internal consolidation exercise and does not involve any change in ownership.
Endurance Technologies had first informed stock exchanges about the proposed merger in July 2025. The appointed date for the merger is 1 April 2025. The latest approval clears the final regulatory requirement in Italy, allowing the company to complete the process as scheduled.
The company has not disclosed any financial consideration for the transaction, as the merger involves entities within the same corporate group. It also did not indicate any immediate impact on revenues, profitability, or operations arising from the restructuring.
Separately, Endurance Technologies informed stock exchanges earlier in December 2025 about a cyber security incident affecting its information technology infrastructure. The company said immediate steps were taken to isolate affected systems and initiate remediation measures.
Based on its initial assessment, Endurance Technologies said the cyber incident did not have any material impact on its core operations or financial position. A detailed investigation is ongoing, and the company said it would make further disclosures if any material impact is identified.
