Universal Cables Limited, a M P Birla group company, has approved the execution of a manufacturing agreement with TS Conductor Corp to manufacture high temperature low sag (HTLS) conductors at its facility in Satna, Madhya Pradesh. The approval was granted by the board of directors through a circular resolution passed on 14 January 2026, marking an expansion of the company’s conductor manufacturing portfolio.
TS Conductor Corp is a company incorporated in the United States with its principal place of business in Huntington Beach, California. Under the arrangement, Universal Cables will manufacture and sell HTLS conductors using TS aluminium encapsulated composite core technology.
As part of the agreement, TS will supply the aluminium encapsulated composite core, along with jointing and associated accessories, and will provide guidance for installation in its integrated form, as required. TS will also grant Universal Cables a limited, non-transferable, non-assignable and non-sublicensable licence to use its intellectual property during the term of the agreement. The licence will be restricted to Universal Cables’ manufacturing facility and will be used solely for the manufacture of approved TS conductors in accordance with the agreement.
The filing stated that the manufacturing activity will be carried out at Universal Cables’ plant in Satna and will be focused on producing HTLS conductors conforming to domestic and international specifications. The scope of the agreement covers the manufacture and sale of HTLS conductors using aluminium encapsulated composite cores supplied by TS.
On the commercial terms, Universal Cables will source the aluminium encapsulated composite core from TS on an arm’s length basis. Pricing and other commercial conditions will be mutually agreed between the two parties from time to time. The company may also outsource jointing and related accessories from TS when required for system installation, in line with the agreement.
The agreement will initially remain valid for a period of 12 months from its effective date and includes provisions for renewal or resetting of the term, subject to mutual written consent. The company clarified in its filing that the agreement does not constitute a related party transaction. It added that neither the promoter, promoter group nor the directors of Universal Cables have any interest in TS, and that the arrangement is proposed to be conducted on an arm’s length basis.
