Samvardhana Motherson International Limited on 19 March 2026 approved the execution of a joint venture agreement with Hellmann Worldwide Logistics (MESA) Holding Limited to establish a new logistics entity in Dubai, United Arab Emirates. The partnership is aimed at providing integrated supply chain services to the automotive sector and expanding logistics capabilities across global markets.
The joint venture will operate through a newly incorporated entity in Dubai, with Samvardhana Motherson holding a 51 percent stake and Hellmann holding 49 percent. The collaboration is intended “to offer world class supply chain solutions to automotive industry and support customers with essential logistics requirements” and “to enhance resilience, efficiency, and stability in supply chains by providing integrated 3PL and 4PL services globally (excluding Japan).”
The joint venture company will be incorporated with an authorised share capital of USD 10 million and a paid-up share capital of USD 1 million, based on business requirements. Both partners will subscribe to the paid-up capital in proportion to their shareholding.
The board of the joint venture will comprise a minimum of six directors, with three directors, including the chairman, to be appointed by Samvardhana Motherson and three directors by Hellmann. The agreement includes customary rights and obligations associated with such transactions.
