Sigma Advanced Systems Limited announced a reconstitution of its board as the company prepares for expansion in the aerospace and defence sector. The move includes the induction of Lt. Gen. B. S. Raju (Retd.), Ambassador Nagendra Prasad, and Kartheek Raju as independent directors.

The revised board structure is intended to strengthen governance and strategic oversight as the company expands its international presence in aerospace and defence markets.

Lt. Gen. B. S. Raju (Retd.) previously served as Vice Chief of the Army Staff from May 2022 to February 2023. He also held the position of Director General Military Operations and served as General Officer Commanding-in-Chief of the South Western Command of the Indian Army.

Ambassador Nagendra Prasad is a former Indian Foreign Service officer with more than three decades of diplomatic experience. His previous assignments include serving as India’s Ambassador to Kazakhstan and Turkmenistan and Consul General in San Francisco, and diplomatic postings in Switzerland, Bhutan, Iran, and the United Kingdom. The company said he brings expertise in international trade, export controls, and regulatory frameworks including International Traffic in Arms Regulations (ITAR) and Export Administration Regulations (EAR).

Kartheek Raju has led the iLabs Family Office, where he managed investment strategies across multiple sectors. Sigma said his experience includes capital allocation, corporate strategy, and building teams in industries including aerospace manufacturing and supply chains.

The company stated that the reconstituted board will strengthen key committees including Audit, Risk, Nomination, and Remuneration, with greater focus on compliance, risk oversight, financial discipline, export controls, cybersecurity safeguards, internal audits, and quality systems.

The restructuring comes as Sigma expands its activities in international markets, export programmes, and global aerospace supply chains. The company said it has been expanding its presence in the aerospace and defence ecosystem through partnerships, technology collaborations, and acquisitions, and has secured defence orders in India.

“The reconstitution of our Board reflects Sigma’s transition into its next phase of growth. By bringing in deeper aerospace and defence as well as international expertise, we are strengthening our governance foundation while positioning the company for sustained expansion. This move reinforces our commitment to operational excellence, compliance and long term value creation for our stakeholders,” said Sunil Kalidindi, Chief Executive Officer of Sigma Advanced Systems Limited.

Sigma Advanced Systems Limited, formerly Megasoft Limited, operates in the aerospace and defence sector and develops systems and solutions for defence and aerospace applications.
