JK Tyre & Industries Ltd has completed the merger of its subsidiary Cavendish Industries Ltd into the parent entity, consolidating manufacturing operations and capacity under a single corporate structure. The merger was completed on 23 December 2025 and is expected to strengthen operational integration across the company’s tyre manufacturing footprint.
The merger brings Cavendish’s truck, bus and two- and three-wheeler tyre manufacturing capacities fully into JK Tyre’s balance sheet. Cavendish operates a manufacturing facility at Laksar, which produces truck and bus radial tyres, truck and bus bias tyres, and tyres for two- and three-wheelers. The integration is intended to improve economies of scale, streamline operations and enhance utilisation of existing manufacturing assets.
According to a press release issued by JK Tyre & Industries Ltd, Cavendish was acquired by the company in 2016 from Kesoram Industries Ltd, at a time when the facility was operating at around 30 percent of its installed capacity. Following the acquisition, JK Tyre provided managerial, financial and technical support to stabilise operations and improve performance.
The company said that systematic streamlining of manufacturing processes after the acquisition led to a significant improvement in output, with capacity utilisation rising to about 95 percent. In addition, the installed capacity at the Laksar facility was expanded, enabling Cavendish to make a larger contribution to the group’s overall tyre production.
The merger is expected to unlock operational synergies by combining manufacturing, procurement and distribution operations. JK Tyre said the integration would support a more diversified product portfolio and improve reach across a unified distribution network, while reducing duplication of administrative and operational functions.
The company also positioned the merger as part of its longer-term strategy focused on sustainable growth through a combination of organic expansion and inorganic initiatives. The Cavendish integration represents the company’s third major turnaround following earlier transformations, including the revival of Vikrant Tyres in the late 1990s and the integration of its Mexico operations in 2008, alongside the development of additional greenfield manufacturing plants.
