Shriram Pistons & Rings Limited, a manufacturer of pistons, piston pins, piston rings and engine valves, announced that it has signed a definitive agreement to acquire the entire shareholding in Antolin Lighting India Private Limited, Grupo Antolin India Private Limited and Grupo Antolin Chakan Private Limited. The company said the INR 16.7 billion, debt-free and cash-free transaction will expand its product portfolio into automotive interior systems and support its diversification plans.

“We plan to mark our foray into the automotive interior solutions segment through these acquisitions, which will significantly enhance our competitive edge in the auto components industry,” said Krishnakumar Srinivasan, Managing Director and CEO.

The three target companies together operate five manufacturing facilities across Chakan, Pune and Chennai, and reported combined annual revenues of approximately INR 11.791 billion.

The businesses supply a range of interior and related components to vehicle manufacturers, including headliner substrates, modular headliners, sunvisors, door panels, centre floor consoles, pillar trims, front-end carriers, overhead consoles, dome lamps, ambient lighting systems, touch panels and capacitive pads. Shriram Pistons will also enter a long-term technology licensing agreement with Grupo Antolin to retain access to technology and product development support.

The company said the acquisition is expected to close by 2 January 2026, subject to customary approvals and conditions under the share purchase agreement. The transaction is described in the release as value-accretive based on the revenue profile and customer base of the acquired entities.

The press release notes that the acquisition builds on recent investments by Shriram Pistons in powertrain-agnostic product companies and is expected to generate operational and technological synergies.
