Bajaj Auto Limited announced that its wholly owned subsidiary, Bajaj Auto International Holdings B.V., has been notified by the European Commission that no in-depth investigation under the Foreign Subsidies Regulation will be initiated, clearing the way for a change of control. The company said the notification allows the takeover to proceed to completion as of 11 November 2025 and that the closing is expected in the coming weeks.
On 22 May 2025, Bajaj Auto International Holdings B.V. entered into a call option agreement with Pierer Industrie AG that would enable Bajaj to acquire Pierer Industrie AG’s 50.1 percent stake in Pierer Bajaj AG and thereby obtain indirect control of PIERER Mobility AG latest by the end of May 2026. According to a press release issued by PIERER Mobility AG, the European Commission’s decision not to initiate an in-depth probe means the acquisition of the 50.1 percent stake is now possible and BAIH will become sole owner of Pierer Bajaj AG once the formal closing is completed.
The PIERER Mobility AG announcement noted that Pierer Bajaj AG will continue to hold 74.9 percent of the parent company of KTM, PIERER Mobility AG, after the transaction. Bajaj’s stock exchange intimation stated that the company had earlier disclosed receipt of approval from the Austrian Takeover Commission on 23 October 2025 confirming a restructuring privilege that removes any obligation for a mandatory takeover bid.
The companies have not disclosed detailed financial terms in the disclosed announcements. Regulatory clearances completed to date include the Austrian Takeover Commission approval and the European Commission notification dated 10 November 2025; the parties said final closing will follow the completion of customary formalities and conditions precedent.
