Samvardhana Motherson International Limited (SAMIL), through its wholly owned subsidiary SMP Automotive Produtos Automotivos do Brasil LTDA (SMP Brasil), has agreed to acquire 100% of Baldi Industria e Comercio LTDA, a Brazilian Tier 2 automotive supplier. The transaction is valued at approximately BRL 47 million (USD 7.8 million) and is expected to close by the first quarter of FY2026, pending conditions precedent.
Baldi specializes in manufacturing wrapping solutions and soft-touch interior surfaces for automotive components, including door panels, instrument panels, and steering wheels. The company reported a turnover of BRL 68.3 million (USD 11.3 million) in calendar year 2023, with an EBITDA margin of 10.7%. Established in 1993, Baldi operates a single manufacturing facility headquartered in Brazil.
The acquisition aligns with SAMIL’s strategy to enhance vertical integration and strengthen its polymer and module production capabilities in South America. It also supports SAMIL’s goal of increasing its product portfolio for premium vehicle interiors, particularly in soft-touch surfaces and PVC finishes. Approximately BRL 17 million (USD 2.8 million) of the transaction value will be held back for up to five years to cover seller indemnification obligations.
