Samvardhana Motherson International Limited has approved the acquisition of the business and assets of Rubbertec Group through its indirect subsidiary, Motherson Elastomers Pty Ltd, to expand its presence in the mining industry and strengthen operations in Australia. The transaction was approved by the company’s Board of Directors at a meeting held on 29 October 2025.

The Rubbertec Group is engaged in the production of rubber linings, mining hoses, and other wear-related components, as well as site maintenance services primarily for the mining resources industry. For the financial year ended 30 June 2025, the group reported a turnover of about AUD 8.6 million (approximately USD 5.7 million). Its operations are spread across four locations in Australia.

Motherson stated that the acquisition provides direct access to an established customer base in the mining industry, enhances its national footprint in Australia, and creates opportunities for vertical integration and cross-selling between existing product lines. The company also expects to leverage combined research and development capabilities to develop advanced rubber solutions suited for extreme industrial environments.

According to the company’s filing with the Bombay Stock Exchange (BSE), the acquisition will be executed as an asset and business purchase from several entities under the Rubbertec Group, including Rubbertec Australia Pty Ltd, Blair Rubber Australia Pty Ltd, Rubbertec WA Pty Ltd, Tastex Linings Pty Ltd, and Rubbertec Services Group Pty Ltd. The total consideration is set at AUD 5 million (approximately USD 3.3 million), subject to customary deductions and adjustments at closing.

The acquisition will be completed for cash consideration, with no requirement for governmental or regulatory approvals. The transaction is expected to close by the third quarter of the financial year 2025–26, subject to the satisfaction of customary conditions precedent.
